Terms of Service

1. Agreement to These Terms
These Terms of Service ("Terms") are a binding agreement between you and Hetri Inc., a Delaware corporation ("Hetri," "we," "us," or "our"), governing your access to and use of our websites (including hetri.org, paw.hetri.org, and grotaro.com), our software products, and related services (collectively, the "Services"). Our products include Professional Animal Works ("PAW"), a management platform for pet care businesses, and Grotaro, a real-time market data and analytics dashboard.
By creating an account, purchasing a subscription, or otherwise using the Services, you agree to these Terms and to our Privacy Policy and Refund Policy, which are incorporated into these Terms by reference. If you do not agree, do not use the Services. If you use the Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" refers to that entity.
PLEASE READ SECTION 13 (DISPUTE RESOLUTION; ARBITRATION) CAREFULLY. IT REQUIRES MOST DISPUTES TO BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION AND INCLUDES A CLASS ACTION WAIVER, WITH AN OPT-OUT RIGHT DESCRIBED BELOW.
2. Eligibility and Accounts
You must be at least 18 years old to create an account or purchase a subscription. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate, current, and complete information and to keep it updated. Notify us promptly at support@hetri.org if you suspect unauthorized use of your account.
3. Subscriptions, Billing, and Payment Processing
Certain Services are offered on a paid subscription basis. Prices, billing intervals, and included features are described at the point of purchase. Subscriptions renew automatically at the end of each billing period until cancelled. You may cancel at any time; cancellation takes effect at the end of the current billing period unless otherwise stated in our Refund Policy.
Orders for our products may be processed by our authorized payment partners, including Paddle, which acts as merchant of record for those transactions. When Paddle is the merchant of record, your purchase is also subject to Paddle's buyer terms, and Paddle handles payment collection, applicable taxes, invoices, and refund processing on our behalf. Certain payment functions within PAW (such as processing of client payments for pet care facilities) may be provided through other payment processors, subject to their respective terms.
We may change subscription pricing with advance notice; changes take effect at your next renewal. Failure to pay amounts due may result in suspension or termination of paid features.
4. Professional Animal Works (PAW): Additional Terms
PAW is a business software platform for pet care facilities, offering tools such as booking and scheduling, customer management, payments, and the TreatTap live video feature. Facility subscriptions to PAW are business (B2B) purchases, made for commercial purposes and not as a consumer.
Facilities. If you operate a facility on PAW, you are responsible for: (a) the accuracy of the information, pricing, and availability you publish; (b) the services you provide to your clients and the care of animals in your custody; (c) complying with all laws applicable to your business, including licensing, animal welfare, consumer protection, and any notice or consent requirements for video streaming on your premises (including with respect to your staff and visitors); and (d) your own agreements with your clients. Hetri provides software only and is not a party to arrangements between facilities and pet owners, and does not provide, supervise, or guarantee any pet care services.
Pet owners. Pet owner accounts allow you to book services from facilities and to use features such as TreatTap. Bookings are contracts between you and the facility. Any disputes about services provided by a facility should be raised with that facility, though you may contact us at support@hetri.org and we will make reasonable efforts to assist.
TreatTap video. TreatTap provides live video streaming only. Streams are transmitted in real time and are not recorded or stored by Hetri. You may not capture, re-broadcast, or publicly distribute TreatTap streams without the facility's permission.
5. Grotaro: Additional Terms
Grotaro is a software dashboard that aggregates, organizes, and visualizes publicly available market data and related analytics for informational purposes. Grotaro is an analytics tool. It does not provide brokerage or exchange services, does not hold custody of your funds or other assets, and does not place orders or execute transactions on your behalf. Where Grotaro includes account tools, such as viewing balances or initiating movements between your own accounts at supported third-party venues, those actions are initiated solely by you, run through your own accounts at those venues, and remain subject to those venues' terms.
No advice. Nothing in Grotaro constitutes financial, investment, legal, or tax advice, or a recommendation, solicitation, or endorsement of any market, instrument, or course of action. Content is provided for general informational purposes only. Any decisions you make based on information displayed in Grotaro are made solely at your own risk, and you are solely responsible for complying with all laws applicable to your own activities.
Data accuracy. Market data and analytics are derived from third-party sources and provided "as is." Data may be delayed, incomplete, or inaccurate, and we do not guarantee its accuracy, timeliness, or availability. Third-party data remains subject to the terms of its respective sources.
6. Acceptable Use
You agree not to, and not to permit others to:
- use the Services in violation of any applicable law or regulation, or for any unlawful purpose;
- probe, scan, or test the vulnerability of the Services, bypass security or access controls, or access data or accounts you are not authorized to access;
- scrape, harvest, or bulk-export data from the Services, or use robots or automated means to access the Services except through interfaces we provide;
- resell, sublicense, redistribute, or make the Services or their data available to third parties except as expressly permitted;
- reverse engineer, decompile, or attempt to derive the source code of the Services;
- interfere with or disrupt the integrity or performance of the Services or other users' use of them;
- upload malicious code, or submit content that is unlawful, infringing, defamatory, or harassing;
- misrepresent your identity or affiliation, or impersonate any person or entity.
7. Your Content
You retain ownership of content you submit to the Services ("User Content"), such as business listings, profile information, images, and messages. You grant Hetri a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and transmit User Content as necessary to operate, provide, and improve the Services. You represent that you have all rights necessary to submit your User Content and that it does not violate any law or third-party right. We may remove User Content that violates these Terms.
8. Intellectual Property
The Services, including all software, designs, text, graphics, logos, and trademarks (including "Hetri," "Professional Animal Works," "PAW," "TreatTap," and "Grotaro"), are owned by Hetri or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose during your subscription or permitted use. No other rights are granted. Feedback you provide about the Services may be used by us without restriction or obligation.
9. Third-Party Services
The Services may link to or interoperate with third-party websites and services, including payment processors and data sources. We are not responsible for third-party services, and your use of them is governed by their own terms and privacy policies.
10. Termination
You may stop using the Services and cancel your subscription at any time. We may suspend or terminate your access to the Services if you materially breach these Terms, if required by law, or if we discontinue the Services (in which case we will provide reasonable advance notice where practicable). Upon termination, your license to use the Services ends; sections of these Terms that by their nature should survive (including Sections 7, 8, 11, 12, 13, and 14) will survive.
11. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, HETRI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DATA PROVIDED THROUGH THE SERVICES WILL BE ACCURATE, COMPLETE, OR CURRENT. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU; NOTHING IN THESE TERMS AFFECTS STATUTORY RIGHTS THAT CANNOT BE WAIVED, INCLUDING CONSUMER RIGHTS UNDER APPLICABLE LAW.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW: (A) HETRI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (B) HETRI'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF (i) THE AMOUNTS YOU PAID TO HETRI FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY AND (ii) ONE HUNDRED U.S. DOLLARS (US$100). THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.
13. Dispute Resolution; Arbitration; Class Action Waiver
Informal resolution first. Before filing a claim, you and Hetri agree to try to resolve any dispute informally by contacting legal@hetri.org. If a dispute is not resolved within 30 days of notice, either party may proceed as set out below.
Binding arbitration. Except as provided below, any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by final and binding arbitration administered by the American Arbitration Association ("AAA") under its applicable rules (including, where applicable, the AAA Consumer Arbitration Rules), rather than in court. The Federal Arbitration Act governs the interpretation and enforcement of this section. Arbitration will be conducted by a single arbitrator, in English, and may take place by videoconference or, if an in-person hearing is required, in the county where you reside (for consumers) or in California (for businesses).
Exceptions. Either party may (a) bring an individual claim in small claims court if it qualifies, and (b) seek injunctive or other equitable relief in court to protect intellectual property rights or prevent unauthorized access to the Services.
Class action waiver. ALL DISPUTES MUST BE BROUGHT IN THE PARTIES' INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OR PRESIDE OVER ANY FORM OF CLASS PROCEEDING. If this class action waiver is found unenforceable as to a particular claim, that claim (and only that claim) shall proceed in court.
30-day opt-out. You may opt out of this arbitration agreement by emailing legal@hetri.org within 30 days of first accepting these Terms, with your name, account email, and a clear statement that you wish to opt out of arbitration. Opting out does not affect any other part of these Terms.
14. Governing Law and Venue
These Terms are governed by the laws of the State of California, without regard to its conflict of laws rules, except that the Federal Arbitration Act governs Section 13. For any dispute not subject to arbitration, you and Hetri consent to the exclusive jurisdiction and venue of the state and federal courts located in California. If you are a consumer resident in a jurisdiction whose laws grant you mandatory protections or a mandatory forum, nothing in this section deprives you of those protections.
15. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide notice (for example, by email or an in-product notice) before the changes take effect. Your continued use of the Services after the effective date of updated Terms constitutes acceptance of them. If you do not agree to updated Terms, you must stop using the Services and may cancel your subscription.
16. General
These Terms, together with the Privacy Policy, Refund Policy, and any product-specific terms presented at purchase, are the entire agreement between you and Hetri regarding the Services. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Notices to Hetri should be sent to legal@hetri.org.
